1. Introduction

L’Institut C.L.E.A.R. Inc. / The C.L.E.A.R. Institute Inc. (“us”, “we”, “our” or “the C.L.E.A.R.”) operates the learn.theclearinstitute.com website (the “Site”) and related applications (the “Applications”).

By accessing or using the Site or the Applications, you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree with any part of these Terms, you must not use the Site or the Applications.

These Terms govern: (i) your use of the Site and Applications; and (ii) your participation in courses, programs, webinars, in-clinic sessions, coaching, treatment planning services, and any other services provided by the C.L.E.A.R. (collectively, the “Services”).

2. Definitions

(i) “Applications” means any of the C.L.E.A.R.’s digital platforms, including websites, learning platforms, accounts on social media, software, or mobile applications.

(ii) “Intellectual Property” means all copyrights, trademarks, trade names, logos, know-how, trade secrets, software, content, images, videos, publications, data, and other protected rights owned or licensed by the C.L.E.A.R.

(iii) “User” means any individual who accesses or uses the Site or Applications.

(iv) “Participant” means any User who registers for or attends a Service.

3. Intellectual Property

(i) All content on the Site and Applications, including but not limited to text, images, graphics, videos, logos, trademarks, course materials, and software, is protected by intellectual property laws and belongs exclusively to the C.L.E.A.R. or is used under license.

(ii) Users may not reproduce, distribute, modify, publish, transmit, create derivative works from, or exploit in any way any such content without prior written consent from the C.L.E.A.R.

(iii) Course and Service materials are provided for professional use only and may not be shared or resold.

4. User Responsibilities

(i) Provide accurate and truthful information when registering for accounts or Services.

(ii) Safeguard login credentials and do not share them with third parties.

(iii) Comply with all applicable laws, professional obligations, and deontology rules, including patient confidentiality and professional secrecy.

(iv) Refrain from posting or transmitting unlawful, defamatory, offensive, or infringing content.

(v) Use the Site and Applications only for lawful purposes and in a manner consistent with professional standards.

5. Services and Registration

(i) Registration for Services is subject to availability and confirmed only upon full or partial payment, as applicable.

(ii) Certain Services, including in-clinic sessions, may require a separate written agreement to govern the scope of services and applicable conditions.

(iii) We reserve the right to refuse or cancel a registration at our discretion, including in cases of non-payment, misuse, or breach of these Terms.

6. Fees, Payments and Refunds

(i) All fees for Services are displayed in the applicable currency at the time of purchase. Taxes may apply depending on your jurisdiction.

(ii) Payments must be completed using the methods indicated on the Site.

(iii) Refunds and cancellations are governed by this policy.

(iv) In-clinic sessions and live courses: Cancellations must be notified in writing at least 30 days prior to the scheduled date to receive a full refund, less applicable administrative fees. No refund will be issued for cancellations received less than 30 days before the scheduled date.

(v) Scheduled online services (private coaching, ClearCheck, live webinars): Cancellations must be notified in writing no later than 48 hours before the scheduled date or before access activation. No refund will be issued beyond this timeframe.

(vi) On-demand courses and webinars: No refunds will be granted once access to the content has been activated.

7. Disclaimer and Limitation of Liability

(i) The Services are educational in nature and do not constitute medical, dental, or health advice. Participants remain solely responsible for their own professional practice and decisions.

(ii) The C.L.E.A.R. does not guarantee uninterrupted access to the Site or Applications, nor the accuracy, completeness, or reliability of any content.

(iii) To the maximum extent permitted by law, the C.L.E.A.R. disclaims all liability for damages, viruses, data loss, service interruptions, or errors resulting from your use of the Site, Applications, or Services.

8. Links to Third-Party Websites

(i) The Site or Applications may contain links to third-party websites provided for convenience only.

(ii) The C.L.E.A.R. has no control over such websites and assumes no responsibility for their content, practices, or policies.

9. Changes to Terms

(i) We may update these Terms & Conditions from time to time. The latest version will always be posted on this page with the date of update.

(ii) Continued use of the Site, Applications, or Services after such changes constitutes acceptance of the revised Terms & Conditions.

10. Governing Law and Jurisdiction

(i) These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein.

(ii) Any dispute shall be submitted to the exclusive jurisdiction of the courts of Longueuil, Province of Quebec, Canada.

12. Content Ownership & Sponsorship Disclaimer

(i) All educational content available on the Site, Applications, and Services is the exclusive property of The C.L.E.A.R. Institute Inc., developed independently and in accordance with professional standards.

(ii) From time to time, certain events, programs, or activities may receive sponsorship support. Sponsorships are acknowledged transparently but do not influence the objectivity or independence of our educational content.

(iii) References to third-party trademarks, software, or products are used solely for identification and descriptive purposes. All such marks remain the property of their respective owners.

13. Interpretation

(i) In case of discrepancy between the English version and the French version of these Terms and Conditions of Use, the French version shall prevail.
